Terms of Service
These Terms of Service (“Terms”) are an agreement between you and Unsubject LLC, a Virginia limited liability company (“Unsubject,” “we,” “us” or “our”). They govern your use of the websites at unsubject.com and its subdomains, and of the apps, bots, connectors, APIs and other online services we operate that link to these Terms (together, the “Services”).
Please read them carefully. Our Privacy Statement explains how we handle personal information and is part of these Terms.
1. Accepting these Terms
By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you agree on its behalf and confirm that you have authority to do so. If you do not agree, do not use the Services.
Some Services show additional terms or notices when you use them. Those additional terms are part of these Terms. If they conflict with these Terms, the additional terms control for that Service.
2. Who may use the Services
You must be at least 13 years old, or the minimum age required in your country to use online services without parental consent, whichever is higher. If you are under the age of majority where you live, a parent or legal guardian must agree to these Terms for you. You may not use the Services if the law prohibits you from doing so.
3. Accounts and credentials
Some Services require you to sign in, use an access token, or connect an account you hold with another provider. You are responsible for:
- keeping your passwords, tokens and other credentials confidential;
- all activity that happens under your credentials, including requests an AI assistant makes with a credential you gave it; and
- telling us promptly at webmaster@unsubject.com if you believe your credentials have been misused.
We may revoke or rotate credentials at any time to protect you or the Services.
4. Your content
“Your Content” means the text, voice messages, audio, files, links and other material you submit to the Services, and the data you allow us to import from accounts you connect. You keep all ownership rights you have in Your Content.
You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, display and adapt Your Content only as needed to operate, maintain, secure and provide the Services to you, and as described in our Privacy Statement. This license ends when you delete Your Content or ask us to delete it, except for copies kept for a limited time in backups or where the law requires us to keep them.
You confirm that you have the rights needed to submit Your Content and to let us use it as described here, including any personal information about other people that it contains.
5. AI features
Some Services use artificial intelligence, including models provided by third parties, to transcribe, summarize, classify, search, link or generate content. To produce these results, Your Content may be sent to an AI provider as described in our Privacy Statement.
AI output can be inaccurate, incomplete, out of date or inappropriate. Review it before you rely on it. It is not legal, medical, financial or other professional advice. You are responsible for how you use AI output and for making sure your use complies with the law.
6. Connected services
The Services may let you connect accounts or tools from other providers, such as Google, Telegram, or AI assistants like Claude, ChatGPT, Gemini and Cursor. When you connect one, you authorize us to access and use its data within the permissions you grant, for the purposes described in our Privacy Statement.
Your use of another provider’s product is governed by that provider’s own terms and privacy policy. We are not responsible for other providers’ products, content or practices. You can disconnect a connected account at any time, either in the relevant Service or in your settings with that provider.
7. Acceptable use
You agree not to, and not to help anyone else to:
- use the Services in a way that breaks the law or infringes anyone’s rights, including privacy and intellectual property rights;
- submit material that is unlawful, defamatory, harassing, abusive or sexually exploits minors, or use the Services to harm others;
- upload viruses or other malicious code;
- access or try to access accounts, data or systems you are not authorized to access, or probe, scan or test the Services for vulnerabilities, except through responsible disclosure to webmaster@unsubject.com;
- interfere with or overload the Services, or get around rate limits, authentication or other security measures;
- scrape the Services or access them by automated means, except through the APIs and connectors we provide and within any limits we set;
- reverse engineer the Services, except to the extent the law allows despite this restriction;
- misrepresent who you are or your connection with anyone else; or
- resell, sublicense or share access to the Services without our written permission.
8. Fees
Most Services are currently free. If we offer a paid Service, we will show you the price and any additional terms before you are charged. We may change, limit or stop free Services at any time.
9. Our intellectual property
The Services, including their software, design, text and graphics, and the Unsubject name and logos, belong to us or our licensors and are protected by law. Subject to these Terms, we give you a limited, personal, revocable, non-exclusive and non-transferable license to use the Services for their intended purpose. We reserve all rights not expressly granted. Open-source components are licensed under their own licenses, which govern your use of those components.
10. Feedback
If you send us ideas, suggestions or other feedback about the Services, we may use them without restriction or any obligation to you.
11. Copyright complaints
We respect intellectual property rights. If you believe material available through the Services infringes your copyright, send a notice to webmaster@unsubject.com that includes:
- identification of the copyrighted work you claim is infringed;
- identification of the material you claim is infringing and where it is located in the Services;
- your name, postal address, telephone number and email address;
- a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent or the law;
- a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf; and
- your physical or electronic signature.
We may remove or disable access to material we believe is infringing, and we may terminate the accounts of repeat infringers.
12. Changes to the Services
Many of our Services are experimental. We may change, suspend or discontinue any Service or feature at any time, and we do not guarantee that any Service will be available or uninterrupted. If we plan to discontinue a Service that stores Your Content, we will try to give you reasonable notice so you can export it, where that is practical.
13. Suspension and termination
You may stop using the Services at any time, and you may ask us to delete your account and data by emailing webmaster@unsubject.com.
We may suspend or end your access to any Service, with or without notice, if you breach these Terms, if the law requires it, or if we reasonably believe it is needed to protect the Services, other users or third parties.
Sections 4 (to the extent we keep Your Content as described there), 9, 10 and 14 to 19 continue to apply after your access ends.
14. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT AND OUTPUT PROVIDED THROUGH THEM ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, THAT DATA WILL NOT BE LOST, OR THAT AI OUTPUT WILL BE ACCURATE OR COMPLETE.
15. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, UNSUBJECT AND ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) US$100 AND (B) THE AMOUNTS YOU PAID US FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE CLAIM AROSE.
Some jurisdictions do not allow certain warranties or liabilities to be excluded or limited. In those jurisdictions, the exclusions and limits in Sections 14 and 15 apply only to the extent the law allows.
16. Indemnification
To the extent the law allows, you will defend, indemnify and hold harmless Unsubject and its members, managers, employees and agents from any claims, losses, liabilities and expenses (including reasonable legal fees) arising out of Your Content, your misuse of the Services, or your breach of these Terms or the law.
17. Governing law and disputes
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the Commonwealth of Virginia and applicable United States federal law, without regard to conflict-of-laws rules.
Before starting a formal proceeding, please contact us at webmaster@unsubject.com so we can try to resolve the dispute informally. If it is not resolved within 30 days, either party may bring a claim. Any claim must be brought exclusively in the state or federal courts located in the Commonwealth of Virginia, and you and we consent to the personal jurisdiction of those courts. Either party may instead bring an individual claim in a small-claims court that has jurisdiction.
Nothing in these Terms takes away any rights you have under the mandatory consumer-protection laws of the place where you live.
18. Changes to these Terms
We may update these Terms from time to time. When we do, we will post the new version on this page and change the date at the top. If a change is material, we will give reasonable notice before it takes effect, for example in the Service or by email if we have your address. If you keep using the Services after the change takes effect, you accept the updated Terms. If you do not agree, stop using the Services.
19. General
- Entire agreement. These Terms, the Privacy Statement and any additional terms for a specific Service are the entire agreement between you and us about the Services.
- Severability. If any provision is found unenforceable, it will be enforced to the maximum extent possible and the rest of these Terms will remain in effect.
- No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment. You may not transfer your rights or obligations under these Terms without our written consent. We may transfer ours, for example in connection with a merger, acquisition or sale of assets.
- Events beyond our control. We are not responsible for delays or failures caused by events beyond our reasonable control.
- No third-party beneficiaries. These Terms do not give rights to anyone other than you and us.
- Language. If we provide a translation of these Terms, the English version controls.
